These Terms & Conditions ("Terms") govern your access to and use of the OpeRev website (operev.com), application (app.operev.com), and related services (collectively, the "Service"). Please read these Terms carefully before using the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Definitions

  • "OpeRev" refers to the service and the operating entity that provides it.
  • "Service" refers to the website, application, and all associated features, functionality, and content.
  • "User" or "you" refers to any individual or entity that accesses or uses the Service.
  • "Account" refers to the user account created to access the Service.
  • "Workspace" refers to the multi-tenant environment within OpeRev where a User's data is stored and processed.
  • "User Content" refers to any data, information, or materials that Users upload, input, or generate through the Service.

2. Account Registration and Security

2.1 Eligibility

To create an account, you must be at least 18 years old and have the legal capacity to enter into a binding agreement.

2.2 Account Information

You agree to provide accurate, current, and complete information during registration and to update this information as needed.

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at support@operev.com if you suspect unauthorized access.

2.4 One Account Per Person

You may not create multiple accounts to circumvent usage limits, bypass restrictions, or violate these Terms.

3. Acceptable Use

3.1 Permitted Use

You may use the Service for lawful business purposes in accordance with these Terms.

3.2 Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Upload, transmit, or store any data that infringes intellectual property rights, violates privacy rights, or contains malicious code
  • Attempt to gain unauthorized access to any portion of the Service, other accounts, or connected systems
  • Interfere with or disrupt the Service or servers/networks connected to it
  • Use the Service to send unsolicited commercial communications in violation of CAN-SPAM, TCPA, GDPR, or similar laws
  • Use automated systems (bots, scrapers) to access the Service except as expressly permitted by us
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Resell, sublicense, or redistribute the Service without written authorization
  • Use the Service to compete with OpeRev or build a similar product
  • Violate the rights of any third party, including data protection and privacy rights

3.3 Lead Data and Outreach Compliance

OpeRev enables users to manage contact data and perform outreach. You are solely responsible for ensuring that your use of the Service complies with all applicable laws, including but not limited to CAN-SPAM, TCPA, GDPR, CCPA, and CASL. You represent and warrant that you have the legal right to process any third-party contact data you upload or enrich through the Service.

4. Subscription and Payment

4.1 Pricing Tiers

The Service is offered through various subscription tiers. Current pricing is published at operev.com/pricing and is subject to change with 30 days' notice to active subscribers.

4.2 Payment Terms

Subscriptions are billed monthly or annually in advance through our payment processor (Stripe). All fees are non-refundable except as required by law or as expressly stated in these Terms.

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period.

4.4 Taxes

Prices are exclusive of applicable taxes, which will be added to your invoice where required by law.

4.5 Free Trials

If we offer a free trial, terms of the trial will be clearly communicated at the time of enrollment. Unless cancelled before the trial ends, your subscription will automatically convert to a paid subscription.

5. User Content and Data Ownership

5.1 Your Ownership

You retain all rights to the User Content you upload, input, or generate through the Service. OpeRev does not claim ownership of your data.

5.2 License to OpeRev

By using the Service, you grant OpeRev a limited, non-exclusive, worldwide license to store, process, display, and transmit your User Content solely to provide the Service to you.

5.3 Data Portability

You may export your data at any time through the Service. Upon account closure, your data will be deleted within 90 days unless you request earlier deletion or longer retention.

5.4 Shared Data Layer

OpeRev may maintain a shared data layer containing deduplicated contact and company records across Users. Your private workspace overlays (notes, custom fields, tags) remain private to your workspace and are not shared. Aggregate, anonymized, or derived data may be used to improve the Service.

6. Intellectual Property

6.1 OpeRev's Property

The Service, including all software, design, text, graphics, logos, and trademarks, is owned by OpeRev and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

6.2 Feedback

If you provide feedback or suggestions about the Service, you grant OpeRev a perpetual, irrevocable, royalty-free license to use such feedback without compensation.

7. Third-Party Integrations

The Service may integrate with third-party services (such as HubSpot, Salesforce, Stripe, email providers). Your use of such integrations is subject to the terms of those third-party services. OpeRev is not responsible for the availability, accuracy, or conduct of third-party services.

8. Service Availability

8.1 Reasonable Efforts

We use commercially reasonable efforts to keep the Service available and performant.

8.2 No Guarantee

The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted, error-free, or completely secure operation.

8.3 Scheduled and Unscheduled Maintenance

We may perform scheduled maintenance with reasonable notice and unscheduled maintenance when necessary to protect the Service.

9. Suspension and Termination

9.1 Termination by You

You may terminate your account at any time through account settings.

9.2 Termination by OpeRev

We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms, engage in prohibited conduct, fail to pay fees when due, or for any other reason at our reasonable discretion.

9.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain and delete your data as described in the Privacy Policy. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitations of liability) will survive.

10. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or accuracy. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

11. Limitation of Liability

To the maximum extent permitted by law, OpeRev shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility of such damages.

OpeRev's total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amounts you paid to OpeRev in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless OpeRev from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms or applicable law.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of laws principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts.

14. Dispute Resolution

14.1 Informal Resolution

Before filing any claim, you agree to attempt to resolve disputes informally by contacting us at support@operev.com.

14.2 Binding Arbitration

If informal resolution is unsuccessful, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration will be held in Florida, and judgment may be entered in any court of competent jurisdiction.

14.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions or class-wide arbitration.

15. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated by email or through the Service at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and OpeRev regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16.3 No Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

16.4 Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.

16.5 Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control.
